Departure of Director
On August 30, 2020, Mr. Dan Avida notified the Company of his intention to resign from the Board of Directors in order to focus on a
new business. Mr. Avida served on the compensation committee and the nominating and corporate governance committee. Mr. Avida’s resignation was not a result of any disagreements with the Company on any matter relating to its operations, policies
or practices. Effective upon Mr. Avida’s resignation as a director, the size of the Board is reduced from eight to seven directors.
